FURTHER DELAY IN DESPATCH OF CIRCULAR 
The Company announces that the circular containing, among other things, 
further details of the (i) Loan Capitalisation; (ii) Proposed Capital 
Reorganisation; (iii) Proposed Open Offer; (iv) Proposed Acquisition; 
(v) letter of advice from the Independent Board Committee to the 
Independent Shareholders in respect of the Proposed Open Offer; (vi) 
letter of advice from the independent financial adviser to the 
Independent Board Committee and Independent Shareholders in respect of 
the Proposed Open Offer; and (vii) a notice of EGM will be further 
postponed pending, among other things, the preparation of business 
performance information and the financial report of HKR to be set out in 
the Circular so as to allow the Shareholders better understanding on the 
Proposed Acquisition and the prospect of the Company. 
Given that additional time and effort are required for further analysis 
and compilation of, among other things, the abovementioned HKR's 
information to be set out in the Circular, the Directors consider that 
the despatch of the Circular has to be postponed and the Company has 
applied to the Stock Exchange for a waiver from the strict compliance 
with Rule 19.38 of the GEM Listing Rules by extending the despatch date 
of the Circular from 7 March 2006 to a date falling on or before 28 
March 2006.
